RGC GRADING COMPANY PRE-ORDER CAMPAIGN

  1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and RGC Grading Company, doing business as RGC Grading (“RGC,” “we,” “us,” or “our”), governing your participation in our pre-order campaign and use of our collectible card grading services.

By placing a pre-order, submitting collectible cards for grading, or participating in any promotional giveaway, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not participate in the pre-order campaign or use our services.

RGC reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued participation in the pre-order campaign or use of services after modifications constitutes acceptance of the revised Terms.

  1. PRE-ORDER CAMPAIGN OVERVIEW

2.1 Campaign Description

RGC Grading is offering a limited-time pre-order campaign for collectible card grading services. Pre-order customers will receive:

  • Discounted grading tier pricing available exclusively during the pre-order period
  • A lifetime 20% discount on all future RGC grading services as an early adopter benefit

2.2 Pre-Order Eligibility

The pre-order campaign is open to all customers who place qualifying orders during the designated pre-order period as announced on our website and social media channels.

2.3 Uniqueness of Offer

The lifetime 20% discount offered during this pre-order campaign is a one-time offer that will never be repeated. RGC may introduce paid membership programs with discount benefits in the future, but this lifetime discount opportunity is exclusive to pre-order participants and will not be offered again.

  1. FULFILLMENT AND TIMELINE

3.1 Expected Fulfillment Timeline

Pre-orders are expected to be fulfilled within, but not limited to, one (1) year from the date of order placement. This timeline is an estimate and not a guarantee.

3.2 Potential Delays

Fulfillment may be delayed beyond the expected timeline due to various factors including, but not limited to:

  • Startup operational issues
  • Manufacturing delays
  • Supply chain disruptions
  • Equipment procurement or technical issues
  • Staffing challenges
  • Regulatory or compliance requirements
  • Force majeure events

3.3 Customer Communication

RGC will provide regular updates regarding order status, fulfillment timelines, and any delays through:

  • Email notifications to the address provided during order placement
  • Social media announcements on our official channels
  • Updates posted on our official website

Customers are responsible for monitoring these communication channels and ensuring their contact information is current.

3.4 Use of Pre-Order Funds

By placing a pre-order, you acknowledge and agree that RGC reserves the right to utilize pre-order funds toward the launch and operational establishment of the company, including but not limited to equipment purchases, facility setup, staffing, technology infrastructure, and other necessary business expenses.

  1. CANCELLATION AND REFUND POLICY

4.1 Customer Right to Cancel

Customers may cancel their pre-order at any time prior to the commencement of grading services and receive a full refund of the pre-order amount paid.

4.2 Forfeiture of Lifetime Discount

IMPORTANT: If you cancel your pre-order, you will permanently forfeit your eligibility for the lifetime 20% discount. The discount is non-transferable and cannot be reinstated after cancellation.

4.3 Refund Processing

Refunds will be processed within thirty (30) business days of receiving a cancellation request. Refunds will be issued to the original payment method used for the pre-order.

4.4 Cancellation Process

To cancel your pre-order, customers must contact RGC through the official channels provided on our website or by email to support@rgcgrading.com.

  1. GRADING SERVICES AND TIERS

5.1 Service Tiers

RGC offers three primary grading service tiers:

Bulk Tier:

  • Minimum submission: 15 cards
  • Base guarantee coverage: $100 per card

Standard Tier:

  • Base guarantee coverage: $500 per card
  • [Additional tier details to be specified]

Express Tier:

  • Base guarantee coverage: $1,000 per card
  • [Additional tier details to be specified]

5.2 Bulk Tier Minimum Requirements

Customers who select the Bulk Tier must submit a minimum of fifteen (15) cards.

If Minimum Not Met: If a customer submits fewer than the required minimum cards (e.g., 14 cards when 15 are required):

  1. RGC will notify the customer of the shortfall
  2. The customer will be given the following options:
    • Cancel the order and receive their cards back ungraded
    • Pay the upgraded tier pricing appropriate for their submission
    • Submit additional card(s) to meet the minimum requirement

5.3 Tier Changes

RGC reserves the right to reassign orders to the appropriate service tier based on actual submission quantities. Customers will be notified of any tier changes and provided options before processing.

  1. GUARANTEE COVERAGE (NOT INSURANCE)

6.1 Nature of Coverage

RGC provides guarantee coverage for cards submitted for grading. This is guarantee coverage, not insurance. No insurance policy is issued, and this coverage does not constitute an insurance contract subject to insurance regulations.

6.2 Base Coverage Amounts

Each service tier includes base guarantee coverage:

  • Bulk Tier: $100 per card
  • Standard Tier: $500 per card
  • Express Tier: $1,000 per card

6.3 Optional Additional Coverage

Customers may purchase additional guarantee coverage at the following rates per card:

  • $100 coverage: $0.99
  • $200 coverage: $1.99
  • $300 coverage: $2.99
  • $400 coverage: $3.99
  • $500 coverage: $4.99
  • $1,000 coverage: $9.99
  • $2,000 coverage: $19.99
  • $3,000 coverage: $29.99

Additional coverage amounts are added to the base coverage of the selected tier.

6.4 Coverage Scope

The guarantee coverage applies only to damage or loss that occurs while cards are in RGC’s care, custody, and control at our grading facility.

Coverage DOES NOT include:

  • Damage or loss during shipping to RGC
  • Damage or loss during return shipping from RGC
  • Pre-existing damage to cards prior to RGC’s receipt
  • Damage resulting from the customer’s negligence in packaging or shipping
  • Consequential, indirect, or speculative damages
  • Market value fluctuations
  • Sentimental value

6.5 Documentation and Verification

To ensure accountability and facilitate claims:

  • RGC photographs all cards upon receipt
  • Cards are photographed multiple times throughout the grading process
  • Customers must provide proof of card condition and value for any claim
  • Claims must demonstrate that damage occurred while cards were in RGC’s possession

6.6 Claims Process

Customers who believe their card(s) have been damaged while in RGC’s care must:

  1. Submit a claim through the official claims form on RGC’s full operational website (not available during pre-order marketing phase)
  2. Provide documentation of the card’s condition and value prior to submission
  3. Describe the nature of the damage
  4. Include any relevant photographs or evidence

RGC will investigate all claims and respond within a reasonable timeframe.

6.7 Liability Cap

IMPORTANT LIMITATION: RGC’s maximum liability for any damaged or lost card is strictly limited to the guarantee coverage amount selected by the customer for that card.

By submitting cards for grading, you acknowledge and agree that:

  • If you submit a card valued at $500 with only $100 base coverage and do not purchase additional coverage, RGC’s maximum liability is $100
  • You waive and release RGC from any liability exceeding the selected coverage amount
  • You accept full responsibility for purchasing adequate coverage for high-value cards

6.8 Optional Excess Compensation

While RGC’s liability is capped at the selected coverage amount, RGC reserves the right, but is not obligated, to provide compensation exceeding the coverage amount at its sole discretion. Any such excess compensation is voluntary and does not establish precedent or waive the liability limitations in these Terms.

  1. LIFETIME 20% DISCOUNT

7.1 Discount Eligibility

Customers who complete a pre-order purchase during the campaign period will receive a lifetime 20% discount on all future RGC grading services.

7.2 Discount Duration

“Lifetime” means the discount is valid for the duration of:

  • The customer’s lifetime, OR
  • As long as RGC Grading operates as a business,

Whichever occurs first.

7.3 Discount Application

The 20% discount will be automatically applied to eligible future orders placed by the customer through their registered RGC account.

7.4 Discount Transferability

The lifetime discount is:

  • Transferable only between accounts held by the original pre-order purchaser
  • Generally non-transferable to other individuals
  • Subject to RGC’s discretion regarding transfer to other parties on a case-by-case basis

RGC reserves the right to make judgment calls regarding discount transfers to individuals other than the original purchaser. Requests for such transfers must be submitted in writing and are subject to approval.

7.5 Discount Termination

RGC reserves the right to terminate or revoke the lifetime discount under the following circumstances:

  • Egregious violation of these Terms and Conditions
  • Submission of stolen, counterfeit, or fraudulently obtained collectibles
  • Involvement of RGC in illegal activities of any kind
  • Fraudulent activity or abuse of RGC services
  • Behavior that harms RGC’s business, reputation, or other customers
  • Cancellation of pre-order.

Discount termination is at RGC’s sole discretion. If terminated, the customer will be notified in writing and will no longer receive the 20% discount on future orders.

7.6 Discount Exclusions

The lifetime discount may not be combined with certain promotional offers or applied to specific services as determined by RGC. Any exclusions will be clearly communicated at the time of the applicable offer or service.

  1. CARD SUBMISSION REQUIREMENTS

8.1 Customer Responsibilities

Customers submitting cards for grading must:

  • Accurately declare the estimated value of each card
  • Purchase appropriate guarantee coverage for high-value cards
  • Package cards securely for shipping to RGC
  • Use trackable and insured shipping methods
  • Provide accurate contact and account information
  • Comply with all submission guidelines posted on RGC’s website

8.2 Prohibited Submissions

Customers may NOT submit:

  • Stolen property
  • Counterfeit or altered cards
  • Cards obtained through fraudulent means
  • Cards that violate intellectual property rights
  • Items that are not collectible cards (unless explicitly accepted by RGC)

8.3 Submission Verification

RGC reserves the right to:

  • Verify the authenticity of submitted cards
  • Refuse service for any card at our sole discretion
  • Report suspected stolen property to law enforcement
  • Require additional documentation for high-value submissions

8.4 Return Shipping

Customers are responsible for:

  • Providing accurate return shipping addresses
  • Selecting and paying for appropriate return shipping methods
  • Purchasing insurance for return shipments (recommended)
  • Understanding that RGC’s guarantee coverage does not apply during return shipping
  1. PROMOTIONAL GIVEAWAYS

9.1 Giveaway Eligibility

Promotional giveaways conducted by RGC are subject to the following eligibility requirements:

  • Participants must be eighteen (18) years of age or older
  • Participants must be legal residents of the United States, Canada, or Mexico
  • Employees of RGC, their immediate family members, and household members are not eligible

9.2 Entry Methods

Giveaways are open to all eligible participants, not limited to pre-order customers. Each giveaway will specify:

  • Entry requirements (e.g., follow, like, comment, tag on social media; complete survey; etc.)
  • No purchase necessary alternative entry method
  • Entry deadline and giveaway duration

9.3 Entry Requirements

Participants must comply with all entry requirements specified for each individual giveaway. Entry requirements may include, but are not limited to:

  • Following RGC’s social media accounts
  • Liking, commenting, or sharing social media posts
  • Tagging other users in comments
  • Completing surveys or questionnaires
  • Signing up for email newsletters

Alternative free entry methods (no purchase necessary) will be described in each giveaway’s official rules.

9.4 Winner Selection

Winners will be selected using a random selection process after the giveaway entry period expires. Selection will be conducted fairly among all eligible entries that meet the giveaway requirements.

9.5 Winner Notification

Winners will be notified via:

  • Direct message (DM) on the social media platform where the giveaway was conducted
  • Email to the address provided during entry
  • Other method as specifically described in the individual giveaway

Winners must respond within the timeframe specified in the notification (typically 48-72 hours) to claim their prize. Failure to respond may result in forfeiture of the prize and selection of an alternate winner.

9.6 Odds of Winning

Odds of winning depend on the number of eligible entries received. All eligible entries have an equal chance of being selected.

9.7 Prize Details

Each giveaway will clearly specify:

  • Complete description of the prize(s)
  • Approximate retail value of the prize(s)
  • Any restrictions or limitations on prize usage
  • Whether prizes are transferable
  • Tax responsibilities

9.8 Prize Fulfillment

Prizes will be delivered to winners according to the timeline specified in each giveaway. RGC is not responsible for:

  • Delays in prize delivery caused by third parties
  • Lost or damaged prizes during shipping (unless shipped by RGC)
  • Prizes that cannot be delivered due to incorrect address information

9.9 Taxes and Fees

Winners are responsible for any and all federal, state, provincial, and local taxes on prizes. Winners may be required to provide tax identification information and sign tax forms.

9.10 Giveaway Modifications

RGC reserves the right to:

  • Modify, suspend, or terminate any giveaway
  • Disqualify participants who violate giveaway rules
  • Substitute prizes of equal or greater value
  • Extend or shorten giveaway periods

9.11 Publicity Rights

By participating in a giveaway and accepting a prize, winners grant RGC the right to use their name, likeness, entry content, and winning information for promotional purposes without additional compensation, except where prohibited by law.

  1. INTELLECTUAL PROPERTY

10.1 RGC’s Intellectual Property

All content on RGC’s website, marketing materials, labels, holders, and grading reports, including but not limited to logos, trademarks, service marks, text, graphics, images, and software, are the property of RGC or its licensors and are protected by intellectual property laws.

10.2 Limited License

RGC grants customers a limited, non-exclusive, non-transferable license to view and use RGC’s services for personal, non-commercial purposes only.

10.3 Restrictions

You may not:

  • Reproduce, distribute, or publicly display RGC’s intellectual property without permission
  • Use RGC’s trademarks or branding in a manner that suggests endorsement
  • Reverse engineer or attempt to derive source code from RGC’s systems
  • Create derivative works based on RGC’s content or services
  1. PRIVACY AND DATA PROTECTION

11.1 Information Collection

RGC collects personal information necessary to provide grading services, process orders, and communicate with customers. This may include:

  • Name and contact information
  • Billing and shipping addresses
  • Payment information
  • Card submission details
  • Account credentials

11.2 Use of Information

RGC uses collected information to:

  • Process orders and provide grading services
  • Communicate about orders, promotions, and company updates
  • Improve services and customer experience
  • Comply with legal obligations

11.3 Information Sharing

RGC does not sell customer information to third parties. Information may be shared with:

  • Service providers who assist in business operations (payment processors, shipping companies, etc.)
  • Law enforcement or regulatory authorities when required by law
  • Third parties with customer consent

11.4 Data Security

RGC implements reasonable security measures to protect customer information. However, no method of transmission or storage is 100% secure, and RGC cannot guarantee absolute security.

  1. LIMITATION OF LIABILITY

12.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RGC’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THESE TERMS OR SERVICES PROVIDED SHALL NOT EXCEED THE GUARANTEE COVERAGE AMOUNT SELECTED BY THE CUSTOMER FOR THE AFFECTED CARD(S), OR THE AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC ORDER, WHICHEVER IS GREATER.

12.2 Excluded Damages

IN NO EVENT SHALL RGC BE LIABLE FOR:

  • Indirect, incidental, consequential, special, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Cost of substitute services
  • Emotional distress or sentimental value
  • Market value fluctuations of collectibles

EVEN IF RGC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Scope of Limitation

These limitations apply to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

12.4 Jurisdiction-Specific Rights

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, RGC’s liability is limited to the fullest extent permitted by applicable law.

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless RGC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

  • Your violation of these Terms
  • Your submission of stolen, counterfeit, or fraudulent items
  • Your infringement of any intellectual property or other right of any third party
  • Your violation of applicable laws or regulations
  • Your misrepresentation of card values or condition
  1. DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [INSERT STATE/PROVINCE AND COUNTRY], without regard to its conflict of law principles.

14.2 Arbitration Agreement

Exceptions to Arbitration:

  • Claims in small claims court (if they qualify)
  • Claims related to intellectual property infringement
  • Requests for injunctive or equitable relief

14.3 Arbitration Procedures

Arbitration shall be conducted by a neutral arbitrator in accordance with the rules of [INSERT ARBITRATION ASSOCIATION, e.g., American Arbitration Association (AAA)]. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction.

14.4 Class Action Waiver

YOU AND RGC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and RGC agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

14.5 Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to P.O. Box 6381, Bend, Oregon 97701-9901 within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

  1. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and RGC regarding the subject matter hereof and supersede all prior or contemporaneous communications and proposals.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to reflect the parties’ intention as closely as possible.

15.3 Waiver

RGC’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of RGC.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without RGC’s prior written consent. RGC may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

15.5 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

15.6 Force Majeure

RGC shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.

15.7 Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to liability limitations, indemnification, dispute resolution, and intellectual property provisions.

15.8 Amendments

RGC reserves the right to modify these Terms at any time. Material changes will be communicated via email and/or website notice. Continued use of RGC’s services after changes take effect constitutes acceptance of the revised Terms.

BY PLACING A PRE-ORDER, SUBMITTING CARDS FOR GRADING, OR PARTICIPATING IN PROMOTIONAL GIVEAWAYS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE TO:

  1. The expected fulfillment timeline and potential for delays
  2. RGC’s use of pre-order funds for company launch
  3. The guarantee coverage limitations and liability caps
  4. Your waiver of claims exceeding selected coverage amounts
  5. The terms governing the lifetime 20% discount
  6. The binding arbitration and class action waiver provisions
  7. All promotional giveaway rules and requirements
